TERMS OF SERVICE

These Master Terms of Service ("Terms") govern all services provided by Texoma Estate Watch LLC ("Texoma Estate Watch," "Company," "we," "our," or "us") to any individual or entity ("Client," "Customer," or "you") purchasing or requesting services.

By requesting services, accepting a quote or estimate, signing any service agreement, authorizing recurring billing, or allowing Texoma Estate Watch LLC to perform services on your behalf, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms apply to all Home Watch Services, Rental Property Services, Concierge Services, One-Time Services, Vendor Coordination Services, Additional Services, Recurring Memberships, and any future services offered unless otherwise stated in writing.

1. DEFINITIONS

For purposes of these Terms:

Company means Texoma Estate Watch LLC.

Client means the property owner or authorized representative requesting services.

Property means any residence, vacation home, second home, rental property, condominium, townhome, lake home, cabin, or other real property identified within the Client's service agreement.

Service Visit means any scheduled or requested visit performed by Texoma Estate Watch LLC.

Visual Observation means a non-invasive inspection conducted through ordinary visual observation only.

Emergency Condition means any visible condition that appears to present an immediate risk of property damage, personal injury, or safety concern.

Vendor means any contractor, repair company, cleaning company, inspector, utility provider, or third-party service provider selected by the Client.

2. SCOPE OF SERVICES

Texoma Estate Watch LLC provides professional Home Watch, property observation, documentation, concierge assistance, vendor coordination, and related support services for residential properties.

Our services are designed to assist owners of vacant, seasonal, vacation, and rental properties by providing routine visual observations and communication regarding the property's visible condition.

Services may include, but are not limited to:

  • Scheduled Home Watch visits

  • Rental property monitoring

  • Exterior observations

  • Interior observations (when authorized)

  • Storm response visits

  • Concierge services

  • Arrival preparation

  • Departure preparation

  • Mail and package retrieval

  • Vendor coordination

  • Contractor access

  • Property documentation

  • Seasonal preparation

  • Property readiness verification

  • Rental turnover assistance

  • Photo documentation

  • Digital reporting

Specific services provided are determined solely by the Client's selected membership plan or written service agreement.

3. HOME WATCH SERVICES

Home Watch Services consist of scheduled visual observations of a vacant or intermittently occupied residential property.

During a Home Watch visit, Texoma Estate Watch LLC may observe visible conditions including, but not limited to:

  • Exterior appearance

  • Visible storm damage

  • Doors

  • Windows

  • Roof conditions visible from ground level

  • Driveways

  • Walkways

  • Landscaping

  • Fencing

  • Pools

  • Boat docks

  • Exterior lighting

  • Visible plumbing concerns

  • Visible HVAC concerns

  • Thermostat settings

  • Smoke detector indicators

  • Interior conditions (when authorized)

  • Obvious signs of intrusion

  • Visible pest activity

  • Water intrusion visible at the time of inspection

Following each visit, the Client may receive a written report with photographs documenting visible observations.

Home Watch services are intended to reduce the amount of time a property remains unattended and to notify the Client of visible concerns requiring attention.

4. RENTAL PROPERTY SERVICES

Rental Property Services are designed specifically for owners of vacation rentals, short-term rentals, second homes used as rentals, and similar residential properties.

Rental Services may include:

  • Scheduled property visits

  • Guest readiness observations

  • Arrival preparation

  • Departure observations

  • Inventory observations

  • Supply monitoring

  • Cleaning coordination

  • Vendor coordination

  • Contractor access

  • Maintenance reporting

  • Damage documentation

  • Seasonal monitoring

  • Dock observations

  • Mail retrieval

  • Package retrieval

Texoma Estate Watch LLC does not provide property management services unless specifically agreed to through a separate written agreement.

Rental Property Services do not include:

  • Rent collection

  • Leasing

  • Tenant placement

  • Lease enforcement

  • Guest communication

  • Evictions

  • Property management

  • Maintenance supervision beyond coordination

  • Construction management

The Client remains solely responsible for all management decisions relating to guests, tenants, leases, reservations, pricing, and occupancy.

5. CONCIERGE SERVICES

Texoma Estate Watch LLC may provide optional concierge services upon request.

Available concierge services may include:

  • Grocery stocking

  • Arrival preparation

  • Departure preparation

  • Package acceptance

  • Mail retrieval

  • Holiday preparation

  • Utility access coordination

  • Contractor access

  • Vehicle start-up

  • Boat observations

  • Dock checks

  • Supply delivery coordination

  • Personal errand assistance related to the Property

Concierge services are performed solely as requested by the Client.

Texoma Estate Watch LLC reserves the right to decline any concierge request that is unsafe, illegal, unreasonable, outside our scope of services, or inconsistent with Company policies.

Unless otherwise agreed in writing, concierge services are billed separately from recurring Home Watch memberships.

6. ONE-TIME SERVICES

Clients may request one-time services independent of recurring memberships.

Examples include:

  • Emergency visits

  • Storm response

  • Property documentation

  • Vendor access

  • Contractor coordination

  • Arrival preparation

  • Departure preparation

  • Seasonal checks

  • Special property observations

One-time services are subject to availability and scheduling.

The Company does not guarantee same-day service unless specifically confirmed in writing.

Emergency requests may receive scheduling priority but remain subject to weather conditions, road conditions, property accessibility, and technician availability.

7. QUOTES, ESTIMATES & SERVICE APPROVAL

All quotes, estimates, proposals, pricing sheets, and service recommendations provided by Texoma Estate Watch LLC are non-binding until accepted by the Client.

Unless otherwise stated in writing:

  • Quotes are valid for thirty (30) days from the date issued.

  • Pricing is subject to change after the expiration date.

  • Acceptance may occur by:

    • Electronic approval through Jobber;

    • Signed agreement;

    • Email approval;

    • Text message approval;

    • Verbal approval confirmed in writing;

    • Authorizing Texoma Estate Watch LLC to begin work.

By approving a quote or estimate, the Client authorizes Texoma Estate Watch LLC to perform the services listed and agrees to pay all applicable charges.

If additional work is requested after approval, the Company may provide an updated estimate before proceeding whenever reasonably possible.

Emergency circumstances may require immediate action to prevent additional property damage. In those situations, the Company may perform only the minimum coordination necessary to protect the Property until the Client can be contacted.

8. SCHEDULING & APPOINTMENTS

Service visits are scheduled according to the Client's selected membership plan, requested services, technician availability, weather conditions, holidays, emergency situations, and other operational considerations.

Texoma Estate Watch LLC makes reasonable efforts to perform visits within the scheduled service period but does not guarantee a specific arrival time unless expressly agreed in writing.

The Company reserves the right to reschedule services due to:

  • Severe weather

  • Flooding

  • Ice

  • Road closures

  • Unsafe property conditions

  • Emergency service requests

  • Technician illness

  • Equipment failure

  • Natural disasters

  • Circumstances beyond the Company's reasonable control

If a visit must be rescheduled, the Company will make reasonable efforts to notify the Client and complete the service as soon as practical.

Recurring Home Watch memberships are based on service frequency rather than a guaranteed calendar date.

9. PROPERTY ACCESS AUTHORIZATION

The Client authorizes Texoma Estate Watch LLC to enter the Property solely for approved services.

Authorized access methods may include:

  • Physical keys

  • Lockboxes

  • Smart locks

  • Keypad entry

  • Door codes

  • Gate codes

  • Garage codes

  • Other approved methods

The Client represents that they have the legal authority to grant access to the Property.

The Client agrees to provide accurate and current access information before scheduled services.

Failure to provide access may result in:

  • Missed service visits

  • Additional trip charges

  • Delayed services

  • Rescheduling fees

  • Suspension of recurring services

Texoma Estate Watch LLC is not responsible for service delays resulting from inaccurate access information.

10. KEYS, LOCKBOXS & ACCESS CODES

If physical keys are entrusted to Texoma Estate Watch LLC, reasonable care will be taken to securely store and protect those keys.

Keys may be retained only while services remain active unless otherwise requested by the Client.

Unless authorized in writing, Texoma Estate Watch LLC will not duplicate Client keys.

The Company will not intentionally disclose access information to unauthorized persons.

The Client agrees to immediately notify Texoma Estate Watch LLC whenever:

  • Locks are changed

  • Keys are replaced

  • Lockbox combinations change

  • Smart lock access changes

  • Alarm codes change

  • Gate codes change

  • Garage codes change

  • Access instructions change

Texoma Estate Watch LLC shall not be liable for service interruptions caused by outdated or incorrect access information.

Upon termination of services:

  • Physical keys will be returned upon request.

  • Stored access codes will be deleted when reasonably practical.

  • Digital access permissions will be removed if applicable.

11. INTERIOR ACCESS AUTHORIZATION

Some membership plans include optional interior observations.

Interior access will only occur if expressly authorized by the Client.

If interior access is not authorized, Texoma Estate Watch LLC cannot observe or report conditions inside the structure.

Examples include:

  • Plumbing leaks

  • Appliance failures

  • HVAC failures

  • Mold growth

  • Ceiling damage

  • Interior pest activity

  • Broken windows

  • Water intrusion

  • Electrical issues

  • Frozen pipes

  • Guest damage

  • Vandalism occurring inside the Property

The Client understands that restricting interior access significantly limits the Company's ability to identify visible concerns.

Texoma Estate Watch LLC shall not be responsible for conditions that could not reasonably be observed because interior access was withheld.

12. VENDOR & CONTRACTOR COORDINATION

Upon request, Texoma Estate Watch LLC may coordinate with third-party vendors or contractors.

Coordination services may include:

  • Meeting vendors onsite

  • Providing property access

  • Confirming arrival

  • Confirming departure

  • Photographing work progress

  • Providing status updates

  • Verifying visible completion

Texoma Estate Watch LLC acts solely as a coordinator.

The Company does not:

  • Hire vendors on behalf of the Client unless specifically authorized.

  • Supervise construction.

  • Guarantee workmanship.

  • Inspect completed repairs.

  • Warrant vendor performance.

  • Guarantee completion dates.

  • Resolve contractor disputes.

All repair contracts exist solely between the Client and the selected vendor.

The Client remains solely responsible for:

  • Selecting vendors

  • Approving estimates

  • Paying invoices

  • Warranty claims

  • Contractor disputes

  • Quality of repairs

Texoma Estate Watch LLC assumes no liability arising from vendor performance.

13. EMERGENCY AUTHORIZATION

If Texoma Estate Watch LLC observes conditions that reasonably appear to require immediate attention, the Company may attempt to contact the Client using the contact information provided.

Examples include:

  • Active water leaks

  • Fire or smoke

  • Storm damage

  • Broken windows

  • Obvious forced entry

  • Major roof damage

  • Fallen trees

  • Flooding

  • Utility failures creating visible hazards

If immediate contact cannot be made and delaying action could reasonably increase property damage or create a safety concern, the Client authorizes Texoma Estate Watch LLC to:

  • Contact emergency services

  • Contact previously approved vendors

  • Take reasonable temporary protective measures when practical

  • Document conditions with photographs

  • Notify the Client as soon as reasonably possible

Texoma Estate Watch LLC is not obligated to perform emergency repairs.

Emergency actions are limited to reasonable efforts intended to reduce additional damage until qualified professionals or the Client assume responsibility.

All repair costs, emergency service charges, vendor invoices, insurance deductibles, and related expenses remain solely the responsibility of the Client.

14. PHOTOGRAPHY, REPORTS & DOCUMENTATION

The Client authorizes Texoma Estate Watch LLC to photograph the Property during service visits.

Photographs may include:

  • Exterior conditions

  • Interior conditions (when authorized)

  • Storm damage

  • Visible maintenance concerns

  • Vendor work

  • Completed services

  • Property readiness

  • General observations

Photographs and written reports are created solely for documenting visible conditions at the time of service.

Reports are informational only.

They do not constitute:

  • Engineering reports

  • Home inspections

  • Insurance inspections

  • Structural evaluations

  • Mold inspections

  • Plumbing inspections

  • Electrical inspections

  • Roofing inspections

  • HVAC inspections

  • Code compliance inspections

Reports reflect only the visible conditions observed during the visit.

Conditions may change immediately after the visit due to weather, utility failures, occupants, guests, contractors, animals, vandalism, or other circumstances beyond the Company's control.

Texoma Estate Watch LLC retains ownership of all photographs, reports, and documentation created during service unless otherwise required by law.

The Client is granted a non-exclusive license to use reports and photographs for personal property records, insurance claims, maintenance planning, or similar lawful purposes.

15. PRICING & PAYMENT TERMS

Client agrees to pay all fees associated with the services selected through an approved estimate, service agreement, invoice, recurring membership, or other written authorization.

Service pricing is based upon the Company's current published rates unless otherwise agreed in writing.

All prices are subject to change upon thirty (30) days' written notice for recurring memberships. Price changes shall not affect services already invoiced.

Payment may be accepted by:

  • Credit Card

  • Debit Card

  • ACH Bank Transfer

  • Check

  • Cash (when approved)

  • Other approved electronic payment methods

Payment is due according to the terms stated on the applicable invoice or service agreement.

Failure to remit payment when due constitutes a material breach of this Agreement.

16. RECURRING MEMBERSHIPS & AUTOMATIC BILLING

Recurring Home Watch and Rental Property memberships are subscription services that automatically renew each billing cycle unless canceled according to these Terms.

By enrolling in a recurring membership, Client authorizes Texoma Estate Watch LLC to automatically charge the approved payment method for:

  • Monthly membership fees

  • Approved recurring services

  • Applicable taxes

  • Authorized additional services

  • Approved travel charges

  • Other approved recurring charges

Recurring billing may occur on:

  • The 1st of each month;

  • The 15th of each month; or

  • Another mutually agreed billing date.

Membership fees are earned upon each billing period and reserve recurring scheduling availability.

The Client agrees to maintain a valid payment method throughout the duration of services.

The Company is not responsible for interruptions resulting from expired payment methods or insufficient funds.

17. INITIAL SERVICE COMMITMENTS

Certain membership plans require an initial service commitment.

Current commitments include:

Essential Plans

  • Three (3) month minimum

Signature Plans

  • Three (3) month minimum

Premier Plans

  • Six (6) month minimum

These commitments apply to both Home Watch and Rental memberships unless otherwise agreed in writing.

The commitment begins on the date of the first scheduled service visit.

Client understands the initial commitment reserves technician availability and scheduling capacity.

Cancellation before completion of the required commitment does not eliminate the Client's obligation to pay all remaining committed membership charges.

18. ADDITIONAL SERVICES

Services not included within the Client's selected membership may be performed upon approval.

Examples include:

  • Additional Home Watch visits

  • Emergency visits

  • Storm response visits

  • Concierge requests

  • Grocery stocking

  • Holiday preparation

  • Mail forwarding

  • Package delivery coordination

  • Vendor coordination

  • Contractor meetings

  • Property access

  • Additional reports

  • Extended documentation

  • Travel outside the standard service area

  • Special requests

Additional services may be approved by:

  • Signed authorization

  • Email

  • Text message

  • Jobber approval

  • Telephone approval confirmed in writing

Additional services will be billed separately unless otherwise stated.

19. LATE PAYMENTS

Invoices not paid by the due date may become subject to late payment charges where permitted by applicable law.

Texoma Estate Watch LLC reserves the right to:

  • Suspend future services;

  • Decline scheduling;

  • Refuse emergency service requests;

  • Withhold reports until payment is received;

  • Terminate recurring memberships for non-payment.

Late payment does not relieve the Client of payment obligations.

20. DECLINED PAYMENTS & RETURNED PAYMENTS

If a payment is:

  • Declined;

  • Returned;

  • Reversed;

  • Rejected;

  • Charged back; or

  • Otherwise fails,

the Client agrees to immediately provide an alternate payment method.

Texoma Estate Watch LLC may assess reasonable returned payment fees where permitted by law.

The Company reserves the right to require future payments by certified funds or another approved payment method.

Services may be suspended until payment issues are resolved.

21. CHARGEBACKS & PAYMENT DISPUTES

Client agrees not to initiate a chargeback for services properly authorized and performed.

Before disputing any charge with a financial institution, Client agrees to contact Texoma Estate Watch LLC and provide a reasonable opportunity to resolve the matter.

If a chargeback is initiated for services properly authorized, Client agrees to remain responsible for:

  • Original service charges

  • Chargeback fees

  • Collection costs

  • Reasonable attorney's fees where permitted by law

Nothing in this section limits the Client's legal rights under applicable consumer protection laws.

22. COLLECTION COSTS

If unpaid balances become subject to collection efforts, Client agrees to pay all reasonable costs associated with collection, including:

  • Collection agency fees

  • Court costs

  • Filing fees

  • Service fees

  • Reasonable attorney's fees where permitted by applicable law

  • Interest permitted by law

23. CANCELLATION POLICY

Recurring memberships may be canceled after completion of the required initial commitment.

Cancellation requests must be submitted:

  • In writing;

  • By email;

  • Through another written method approved by the Company.

A minimum of thirty (30) days' notice is required.

Services scheduled during the notice period remain billable.

Cancellation becomes effective only after written confirmation by Texoma Estate Watch LLC.

24. COMPANY TERMINATION OF SERVICES

Texoma Estate Watch LLC reserves the right to suspend or terminate services at any time if:

  • Payment is not received.

  • Property access is unavailable.

  • Unsafe conditions exist.

  • Illegal activity is suspected.

  • Threatening or abusive behavior occurs.

  • The Client materially breaches these Terms.

  • Services cannot be safely performed.

  • Circumstances make continued service commercially impractical.

Termination shall not eliminate the Client's obligation to pay for services already performed or contractual commitments already incurred.

25. REFUND POLICY

Membership fees compensate Texoma Estate Watch LLC for reserving recurring service availability and performing scheduled monitoring.

Accordingly:

Completed service visits are non-refundable.

Membership fees already earned for completed billing periods are non-refundable.

One-time services performed are non-refundable.

Emergency response services are non-refundable.

Approved additional services are non-refundable after performance begins.

Refunds, if approved, are issued solely at the Company's discretion unless otherwise required by law.

26. NO GUARANTEE OF PROPERTY CONDITION

Texoma Estate Watch LLC does not guarantee:

  • Continuous property condition

  • Prevention of damage

  • Prevention of theft

  • Prevention of vandalism

  • Prevention of weather damage

  • Prevention of mechanical failure

  • Prevention of plumbing failures

  • Prevention of electrical failures

  • Prevention of HVAC failures

  • Prevention of pest activity

  • Prevention of mold

  • Prevention of frozen pipes

  • Prevention of guest damage

  • Prevention of contractor negligence

Home Watch services reduce the amount of time a property remains unattended but cannot eliminate the possibility of damage or loss.

27. CLIENT RESPONSIBILITIES

The Client agrees to cooperate with Texoma Estate Watch LLC and to provide all information reasonably necessary to perform services safely and effectively.

The Client agrees to:

  • Maintain accurate contact information.

  • Notify the Company of changes to phone numbers, email addresses, or emergency contacts.

  • Provide accurate property access information.

  • Maintain working locks, access systems, and security devices.

  • Maintain active utilities unless otherwise disclosed.

  • Keep the Property reasonably safe for entry.

  • Remove known hazards before scheduled visits when practical.

  • Notify the Company of pets or animals that may be present.

  • Maintain adequate property insurance.

  • Notify the Company of ongoing repairs or construction.

  • Notify the Company of alarm system changes.

  • Inform the Company of occupancy changes.

  • Inform the Company of known maintenance concerns.

  • Inform the Company of known water leaks or plumbing issues.

  • Inform the Company of known electrical issues.

  • Inform the Company of known structural concerns.

  • Inform the Company of any hazardous materials on the Property.

Failure to provide accurate information may limit the Company's ability to perform services.

28. CLIENT REPRESENTATIONS

The Client represents and warrants that:

  • They are the legal owner of the Property or have authority to authorize services.

  • They possess legal authority to grant access.

  • They have authority to authorize vendors when applicable.

  • They have authority to authorize recurring payments.

  • All information provided is truthful and accurate.

  • No applicable law prohibits the requested services.

If another individual signs on behalf of the Property owner, that individual represents that they possess legal authority to bind the owner.

29. VISUAL OBSERVATION ONLY

Texoma Estate Watch LLC performs non-invasive visual observations only.

Services are limited to what can reasonably be seen during the scheduled visit.

The Company does not:

  • Remove drywall

  • Open walls

  • Remove flooring

  • Enter crawlspaces

  • Enter unsafe attics

  • Climb roofs

  • Move furniture

  • Move stored property

  • Disassemble equipment

  • Operate mechanical systems beyond normal homeowner operation

  • Perform destructive testing

Observations are limited to conditions visible during the visit.

Hidden, concealed, or inaccessible defects may exist without being observed.

30. HOME INSPECTION DISCLAIMER

Texoma Estate Watch LLC is not a licensed home inspection company.

No service performed by Texoma Estate Watch LLC shall be interpreted as:

  • A home inspection

  • A municipal inspection

  • A code inspection

  • A lender inspection

  • A pre-purchase inspection

  • A warranty inspection

  • A structural inspection

  • An engineering report

Reports generated by Texoma Estate Watch LLC are informational only.

Clients seeking a comprehensive inspection should retain a licensed home inspector or other qualified professional.

31. PROPERTY MANAGEMENT DISCLAIMER

Unless specifically agreed in a separate written Property Management Agreement, Texoma Estate Watch LLC does not provide property management services.

The Company does not:

  • Collect rent

  • Screen tenants

  • Advertise rentals

  • Negotiate leases

  • Handle security deposits

  • Enforce lease agreements

  • Evict tenants

  • Manage guest reservations

  • Manage Airbnb or VRBO listings

  • Respond to tenant complaints

  • Manage employees

  • Supervise construction projects

The Client remains solely responsible for all property management decisions.

32. MAINTENANCE DISCLAIMER

Texoma Estate Watch LLC is not a licensed contractor.

The Company may perform minor incidental maintenance that does not require a professional license, including:

  • Replacing HVAC filters

  • Replacing smoke detector batteries

  • Replacing light bulbs

  • Replacing cabinet hardware

  • Replacing door hardware

  • Replacing switch covers

  • Resetting breakers when appropriate

  • Other minor maintenance approved by the Client

The Company does not perform:

  • Plumbing repairs

  • Electrical repairs requiring a license

  • HVAC repairs

  • Roofing repairs

  • Structural repairs

  • Remodeling

  • Construction

  • Tree removal

  • Licensed trade work

Any condition requiring licensed work will be referred to an approved vendor or qualified professional.

33. VENDOR DISCLAIMER

Texoma Estate Watch LLC may recommend or coordinate vendors solely as a convenience to the Client.

The Client understands:

  • Vendors are independent contractors.

  • Vendors are not employees of Texoma Estate Watch LLC.

  • Vendor recommendations do not constitute endorsements.

  • The Client selects the vendor.

  • The Client contracts directly with the vendor.

  • The Client pays the vendor unless otherwise agreed.

Texoma Estate Watch LLC is not responsible for:

  • Vendor workmanship

  • Vendor negligence

  • Missed appointments

  • Construction defects

  • Warranty claims

  • Pricing disputes

  • Delays

  • Contractor damages

  • Contractor injuries

34. NO GUARANTEE OF DISCOVERY

Although Texoma Estate Watch LLC exercises reasonable care during every visit, the Company cannot and does not guarantee that every condition will be discovered.

Examples include:

  • Hidden leaks

  • Slow plumbing leaks

  • Underground leaks

  • Mold inside walls

  • Roof leaks not yet visible

  • Termite damage

  • Hidden pest infestations

  • Electrical failures

  • Appliance failures

  • Sewer backups

  • HVAC failures

  • Frozen pipes

  • Interior condensation

  • Foundation movement

  • Structural defects

  • Water intrusion occurring after the visit

  • Storm damage occurring after departure

  • Guest damage occurring after departure

  • Criminal activity

  • Vandalism

  • Theft

The Client acknowledges that property conditions may change immediately after a visit is completed.

35. NO SECURITY SERVICES

Texoma Estate Watch LLC does not provide:

  • Security guard services

  • Alarm monitoring

  • Crime prevention

  • Law enforcement

  • Patrol services

  • Surveillance monitoring

  • Fire monitoring

The Company is not responsible for preventing:

  • Burglary

  • Theft

  • Trespassing

  • Vandalism

  • Criminal activity

If suspicious activity is observed, the Company may notify the Client and, when appropriate, contact local emergency services.

36. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Texoma Estate Watch LLC shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or relating to the services provided.

This includes, but is not limited to:

  • Lost rental income

  • Lost business opportunities

  • Loss of use

  • Property value reduction

  • Emotional distress

  • Loss of personal property

  • Utility failures

If Texoma Estate Watch LLC is found legally liable for any claim, the Company's maximum liability shall not exceed the total amount paid by the Client for services during the three (3) months immediately preceding the event giving rise to the claim.

37. CLIENT INDEMNIFICATION

The Client agrees to defend, indemnify, and hold harmless Texoma Estate Watch LLC, its owners, employees, contractors, agents, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorney's fees, arising from:

  • The Client's breach of these Terms.

  • Inaccurate information provided by the Client.

  • Unsafe property conditions.

  • Injuries occurring due to undisclosed hazards.

  • Vendor actions or omissions.

  • Guest or tenant actions.

  • Unauthorized occupants.

  • Property conditions beyond the Company's control.

  • The Client's negligence or misconduct.

This indemnification obligation survives termination of this Agreement.

38. FORCE MAJEURE

Texoma Estate Watch LLC shall not be liable for any delay, interruption, or failure to perform services resulting from circumstances beyond its reasonable control.

Such circumstances include, but are not limited to:

  • Tornadoes

  • Severe thunderstorms

  • Flooding

  • Wildfires

  • Ice storms

  • Snowstorms

  • Extreme heat

  • Earthquakes

  • Lightning

  • Utility outages

  • Internet or communication failures

  • Road closures

  • Government orders

  • Public emergencies

  • Acts of terrorism

  • Civil unrest

  • Labor shortages

  • Pandemic or epidemic events

  • Equipment failure

  • Vehicle breakdowns

  • Acts of God

Services delayed by a Force Majeure event shall be rescheduled as soon as reasonably practical.

39. INSURANCE

Texoma Estate Watch LLC maintains commercial insurance appropriate for its operations.

The Client understands that the Company's insurance does not replace or supplement the Client's homeowner's, landlord's, flood, windstorm, liability, or other insurance policies.

The Client agrees to maintain adequate insurance covering the Property and its contents.

Texoma Estate Watch LLC is not responsible for uninsured or underinsured losses.

40. PRIVACY & CONFIDENTIALITY

Texoma Estate Watch LLC respects the privacy of its Clients.

Information collected during the course of providing services may include:

  • Contact information

  • Property information

  • Access instructions

  • Alarm information

  • Gate codes

  • Photographs

  • Service reports

  • Billing information

  • Emergency contacts

This information is used solely for:

  • Providing requested services

  • Scheduling visits

  • Communicating with the Client

  • Processing payments

  • Coordinating approved vendors

  • Maintaining business records

  • Complying with legal obligations

Texoma Estate Watch LLC will not knowingly sell Client information to third parties.

Information may be disclosed only:

  • With the Client's authorization;

  • As required by law;

  • To payment processors;

  • To approved vendors when necessary to perform authorized services;

  • To legal counsel or insurers in connection with a claim.

Reasonable administrative, physical, and technical safeguards will be used to protect Client information; however, no system can guarantee absolute security.

41. INTELLECTUAL PROPERTY

All materials created by Texoma Estate Watch LLC remain the Company's intellectual property, including:

  • Reports

  • Inspection forms

  • Checklists

  • Templates

  • Logos

  • Branding

  • Marketing materials

  • Photographic layouts

  • Website content

  • Documents

  • Training materials

The Client receives a limited, non-transferable license to use reports and photographs for personal property management, maintenance planning, and insurance purposes.

No Client may reproduce, modify, distribute, sell, publish, or commercially use Company materials without prior written consent.

42. GOVERNING LAW

These Terms and all disputes arising from them shall be governed by and interpreted in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles.

The parties agree that any legal action arising from these Terms shall be brought in a court of competent jurisdiction located in Oklahoma, unless otherwise required by applicable law.

If services are performed on property located in another state, the governing law of this Agreement shall remain Oklahoma law to the fullest extent permitted by law.

43. DISPUTE RESOLUTION

The parties agree to make a good-faith effort to resolve any dispute before initiating litigation.

If a dispute arises:

  1. The Client shall provide written notice describing the dispute.

  2. Texoma Estate Watch LLC shall have thirty (30) days to investigate and respond.

  3. The parties will attempt to resolve the matter through informal negotiations.

If a resolution cannot be reached, either party may pursue available legal remedies.

Nothing in this section prevents either party from seeking immediate injunctive relief when necessary to prevent irreparable harm.

44. ELECTRONIC SIGNATURES & ONLINE ACCEPTANCE

The Client agrees that acceptance of any quote, estimate, proposal, invoice, recurring service, or service agreement through:

  • Jobber

  • Email

  • Electronic signature software

  • Text message confirmation

  • Online payment authorization

constitutes a legally binding electronic signature to the fullest extent permitted by the Oklahoma Uniform Electronic Transactions Act (12A O.S. §§ 15-101 et seq.) and other applicable law.

Electronic records and signatures shall have the same force and effect as handwritten signatures.

45. SEVERABILITY

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Any unenforceable provision shall be interpreted as closely as possible to accomplish its original intent while remaining enforceable under applicable law.

46. NO WAIVER

Failure by Texoma Estate Watch LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of Texoma Estate Watch LLC.

47. ASSIGNMENT

The Client may not assign or transfer any rights or obligations under these Terms without the prior written consent of Texoma Estate Watch LLC.

Texoma Estate Watch LLC may assign these Terms to a successor entity in connection with a merger, sale, reorganization, or transfer of substantially all business assets.

48. MODIFICATIONS TO THESE TERMS

Texoma Estate Watch LLC reserves the right to modify these Terms from time to time.

For Clients with recurring memberships, material changes will be communicated by email or another reasonable method at least thirty (30) days before taking effect.

Continued use of services after the effective date of revised Terms constitutes acceptance of the updated Terms.

49. ENTIRE AGREEMENT

These Master Terms of Service, together with any applicable Service Agreement, Quote, Estimate, Invoice, Recurring Payment Authorization, Property Access Authorization, or other written agreement between the parties, constitute the entire agreement between the Client and Texoma Estate Watch LLC.

These documents supersede all prior oral or written discussions, proposals, understandings, and representations relating to the services provided.

No verbal statement or representation shall modify these Terms unless confirmed in writing by Texoma Estate Watch LLC.

CLIENT ACKNOWLEDGMENT

By requesting services, accepting a quote or estimate, approving services through Jobber, signing a service agreement, authorizing recurring payments, or allowing Texoma Estate Watch LLC to perform services, the Client acknowledges that they have read, understood, and agree to be bound by these Master Terms of Service.
